Practice areas
  1. Business
    65%
Attorney Carolyn Dillinger helps business owners form corporations and limited liability companies, buy and sell businesses, and negotiate contracts, including commercial lease agreements. A significant amount of her work is helping to launch non-profit organizations, including forming the corporation, applying for tax-exempt status with the IRS and the CA Franchise Tax Board, and advising boards of directors on best practices.

    20 years

  2. Contracts and agreements
    25%
At Passion Law, Carolyn Dillinger reviews agreements to advise the businesses on the terms of the contracts. She also negotiates and drafts contracts. The process of discussing the terms of a deal is very important and Carolyn can help the parties discuss the terms in a way that expectations can be considered in advance and then written into the contract, so the parties are less likely to have a fallout later because of misunderstanding or lack of communication.

    20 years

  3. Mergers and acquisitions
    10%
At Passion Law, Carolyn Dillinger helps buyers conduct due diligence before acquiring a company or certain assets of a company. For the buyer, she will review the asset purchase agreement or stock agreement, advise the owner regarding the terms, and negotiate or revise the agreement, if applicable. For the seller, she can prepare the seller for acquisition, draft the purchase agreement, and negotiate the terms of the agreement.

    20 years

Carolyn is the principal of Passion Law, PC, a business transactions law firm that helps for-profit and non-profit organizations throughout California and Nevada.

Working with Carolyn has been the greatest pleasure. She has gone above and beyond at every opportunity, always offering to jump on the phone to answer questions, and has been timely and professional on each of our projects. I highly recommend working with her and her firm. I can say with confidence they are some of the best in Southern California

She agreed to do a side project for me. After 2 weeks and 650.00 she said she couldn't finish it leaving me to go find someone else at the last minute. She did refund the money.
