My area of practice is exclusively devoted to working with businesses, Entrepreneurs, and Startups. The following are a few examples of the legal services we offer: contract preparation and review, selection of business entity, preparation of corporate documents (operating agreements, bylaws, share subscription agreements, share purchase agreements, proxy statements), employment policies, c-suite executive level agreements, independent contractor agreements, service agreements, distributorship agreements, joint venture agreements, buy/sell agreements.
We also assist with mergers, acquisitions, purchase and sale of a business or business interest, raising capital, taking on investors, regulation D compliance letters of opinion, and trademark and brand management. Our pre-suit business dispute and contract dispute practice includes taking pre-suit measures to help parties resolve their business disputes, whether it be an internal dispute among partners or external B2B disputes. Such pre-suit measures include analysis of rights and claims, preparation of letters negotiating buyouts, settlements and/or negotiating the same. Such claims may include but are not necessarily limited to breach of contract, breach of fiduciary duty claims, shareholder disputes, corporate governance, whistleblower claims, expulsion or dissociation of members from an LLC, Director removal or ousting, and material misstatements or omissions under 10(b)(5).
