I represented the Plaintiff in a shareholder dispute against the majority shareholder that unilaterally took over the Corporation, transferred the minority shareholder's interest to the majority shareh ... older without following the buyout mechanisms in the shareholder's agreement, and then subsequently dissolve the Corporation. I took the case to trial, and the Plaintiff prevailed on the minority shareholder's claims against the majority shareholder for: breach of the shareholder's agreement, breach of fiduciary duty, and director liability for improper dissolution.
