I am a business attorney that can offer you big firm experience and boutique firm personal and timely attention. My clients are owners of small to medium size companies and I can do everything to assist them to navigate the legal aspects of the business, from starting with a solid legal foundation, working with my clients on creating a plan for moving the business forward, performing a legal analysis of the business to ensure they are in compliance with applicable laws, which mitigates risk. This helps protect against potentially costly legal issues, so my clients can sleep well at night. I will ensure that they have the necessary contracts to protect their business and review the intellectual property assets to see that they are properly registered and owned by the company. Think of me as the quarterback of your business team. I will connect you with other services you may need, such as a bookkeeper, insurance agent, accountant, payroll company, financial planner, etc.
My primary focus is to work with business owners regarding succession planning. Business owners want to get the right value for the business. Taking actions to build the business so that it continues to grow year after year is necessary. This can be through increased sales and decreasing expenses. Getting into a complementary business, either through a joint venture or through a strategic acquisition can boost the value of the business. I will work with you through the sale or purchase of a business, from assisting in getting the right team together to be sure the right value is placed on the business, connecting you with reputable business brokers who will be invaluable if you are selling a business, conducting legal due diligence, and negotiating and drafting the sale documents. I had many years of experience working as lead counsel on certain sales and acquisitions during my time working with Comcast Corporation in Philadelphia.
I use my experience as General Counsel of Comcast's venture capital to provide assistance to business owners that are seeking venture capital investment, analyzing the terms of the investment and reviewing, drafting and negotiating the terms of the venture capital investment.
