John Patrick Kennedy

John P. “Jack” Kennedy is a Partner at Disclosure Law Group, APC. Mr. Kennedy engages in transactional matters on behalf of his clientele. His practice primarily focuses on structuring and negotiating acquisitions, investments, and capital markets offerings on behalf of corporations, venture capital firms, and private equity. Mr. Kennedy helps emerging and mature companies navigate their most critical transactions in a number of dynamic sectors, including commercial real estate, biotechnology, clean energy solutions, emerging technologies, and digital media industries. He regularly represents and advises venture capital and private equity firms on strategic investments and acquisitions in companies in high-value sales and acquisitions of new technologies. Mr. Kennedy advises venture capital and private equity firms on strategic investments and acquisitions in multiple market sectors. He also handles equity and debt capital markets offerings on behalf of issuers.

Mr. Kennedy’s practice includes Debt offerings, including convertible debt offerings, equity offerings and private placements, mergers and acquisitions, recapitalizations, take-private transactions, spin-off transactions, advising and ensuring compliance with applicable securities regulations.

Mr. Kennedy is experienced in representing private investment funds and fund sponsors in a wide range of transactions. In particular, Mr. Kennedy is experienced in: forming private equity funds, hedge funds, venture capital funds and hybrid funds; developing equity ownership and management structures for fund sponsors, including equity compensation arrangements; advising private investment funds and fund sponsors on relevant securities law issues, including registration and compliance under applicable securities regulations; advising private investment funds in connection with preferred equity investments; advising fund sponsors in disputes with investors; and advising fund sponsors and key representatives in separation arrangements.

Mr. Kennedy attended law school at California Western School of Law, earning multiple achievements for academic success. Mr. Kennedy completed his legal education at University of Southern California’s Gould School of law, during which time his studies focused primarily on the fields of structuring business and corporate organizations, mergers and acquisitions, business finance, and securities regulations. Prior to being an associate at Disclosure Law Group, Mr. Kennedy was a partner at Lee Shome & Kennedy, LLP.
