We assist clients in merger transactions, including complex restructurings such as reverse triangular mergers, as well as assisting in asset purchases and sales, and company sales and acquisitions.

Limited partnerships are still the entity of choice for many, if not most, investment funds (e.g. venture capital and private equity), and we are experienced in all aspects of such fund formations and governance.

We assist clients with a variety of real property transactions, including leases, purchases, and sales, and we have served as Designated Closing Counsel for the SBA 504 loan program, providing real estate loan documentation, analyzing title reports, and resolving loan priority and land use issues for more than 100 real property loan transactions.

Our securities practice is limited to exempt offerings and private placements, with an emphasis on Angel and Venture Capital financing from both the investor and the issuer side of the transaction.

We have assisted numerous clients in the successful registration of service marks and trademarks in the US and internationally, including some that were actively opposed or repeatedly objected to by the USPTO.

As an instructor at the U.S. Small Business Administration's Entrepreneur Center in San Francisco, I teach a quarterly course on "Finding Venture Capital" and have assisted with fund formations, provided counsel for investors and funds, and represented issuers in numerous financing transactions.
