I worked with Jim on many asset backed securitizations while at MBIA. I was in structured finance surveillance and he was our first choice lawyer for documentation review or amendments. We worked together for many years and he was always responsive to our many time sensitive client requests. He is detail oriented and has a vast background in asset backed transactions. I worked with Jim continuously for 6-7 years,when he represented me in various asset-backed securities transactions. In such deals, all sides came with numerous "non-negotiable" legal demands and requirements, and the trick typically was to reconcile those "deal-breakers" without any party feeling they had capitulated. Jim thrived in this environment. Through a combination of fierce intelligence, a low-key but persistent style of interacting with both his clients and our interlocutors, and a keen ability to parse the arguments offered by all sides, he invariably was able to find common ground between his client (me) and the other parties' attorneys. His ability to cut through and brush away nonsense and clarify the true legal and business implications of points on which I was asked to waiver or even capitulate made the difference between success and failure over and over again. This was especially true as parties to these transactions often redefined or sequentially revealed their "non-negotiable" positions over the course of extended negotiations and tactically precipitated numerous mini-crises. Jim's talent for remaining calm in the face of provocations and for seeing the big picture were absolutely essential to my abillity to proceed with a high degree of confidence.
