Alexander Strautman Farr

Alex’s practice consists of federal income and international tax planning for partnerships, corporations, and individuals, as well as representation of entities in tax controversies involving complex domestic and international business transactions. He has advised private equity funds, hedge funds, REITs, and master limited partnerships in a variety of transactional matters, including structuring and facilitating mergers, acquisitions, reorganizations, joint ventures and dispositions; fund formations and private offerings; initial public offerings; securities lending and sale/repurchase transactions; and cross-border investment structuring and analysis. In particular Alex has recently been involved in the structuring and negotiation of a significant reverse Morris Trust transaction and joint venture involving power generation assets, the disposition of a Canadian CFC, the acquisition by a private equity fund’s up-C portfolio company of foreign and domestic coal assets, the structuring of an affiliated cross-border loan origination and investment operation, and the formation of and private offering of interests in real estate focused private equity funds.

Alex also has experience with respect to executive compensation and benefits, including securities law compliance and disclosure (proxy and other reporting), the implementation of equity award plans, severance plans and agreements, change of control agreements, and drafting of employment contracts for executive officers.
