• Debt & Equity Financing. Wright has represented lenders and borrowers in secured transactions, including the drafting and negotiation of promissory notes, security agreements, guarantees, and UCC filings. Wright has drafted and reviewed term sheets, stock purchase agreements, convertible notes, SAFEs, warrants, and investor questionnaires.

• Corporate Governance. Wright has set up numerous business entities and drafted articles of incorporation, bylaws, shareholders agreements, operating agreements, voting agreements, minutes, and consents. Wright has also drafted equity compensation plans including restricted stock, options, and synthetic equity agreements.

• Estate Planning. Wright also provides estate planning to address entrepreneurs’ and executives’ concerns regarding estate taxes, succession and legacy planning, asset protection, and probate avoidance. Wright has drafted revocable and irrevocable trusts, wills, powers of attorney, and medical directives.
