Eric Michael Leander

Eric focuses his practice on business, corporate and securities law matters, together with commercial real estate, and other financial transactions.  Eric provides a broad range of legal services to individuals and businesses including entity formations, business transactions, commercial real estate and financing transactions, mergers and acquisitions, contract drafting and negotiation, private securities offerings, venture capital services and business planning for start-ups and small to mid-sized businesses.

Eric’s prior experience includes a diverse business law practice in Albany and the greater Capital Region handling a variety of matters for clients of all sizes.  In addition, Eric previously worked with the U.S. Securities and Exchange Commission, in the Division of Corporation Finance, Office of Small Business Policy, where he drafted small business compliance guides and directly assisted in providing entrepreneurs, businesses, and corporate attorneys with information on relevant securities law issues.

Eric is uniquely able to identify with the entrepreneurial mindset and the challenges facing start-up businesses from inception to commercialization.  Mr. Leander is a firm believer in building an entrepreneurial community in the Capital Region and greatly enjoys working with other entrepreneurs and innovators to build successful businesses.  The creativity and energy that entrepreneurs bring to their projects is inspiring and fuels Eric’s dedication to his client’s success.

A sampling of Eric’s prior legal projects includes:

• Structured, directed, and documented a $4mm private investment transaction for downstate NY real estate development.

• Structured negotiated, documented, and closed a $3mm investment into a growth-stage technology company with an international institutional investor counterparty.

• Structured, negotiated, and closed a $3mm acquisition of fin-tech client to Fortune100 financial institution.

• Negotiated and creatively restructured a significant asset purchase, sale and lease-back transaction resulting in a $4mm savings to the client and avoiding significant dilution (approximately 20%) to its shareholders.

• Re-structured and closed a $1.5mm combined asset and real estate transaction.

• Structured and closed a $1.5mm convertible note investment transaction into an industrial technology company.

• Successfully negotiated and documented a $1mm investment transaction into a startup company on an expedited basis from Letter of Intent to funding in under four (4) days.

• Established and counselled investment management clientele including RIAs, venture capital and private equity funds.

• Formed numerous private fund and management entites for private lending funds together with initial capital formation using Private Placement Memoranda.

• Prepared and successfully cleared NYS public offering prospectus to securities regulators upon first submission.

• Prepared and successfully cleared multiple SEC Regulation A Tier 2 prospectus for $30mm registered public offering.

• Prepared and successfully cleared various public offerings on SEC Forms S-1 and S-3.

• Prepared and successfully cleared numerous crowdfunding campaigns under Reg CF using SEC Form C together with follow-on reporting.
