Edward John Karan III

Edward J. Karan III focuses his practice on corporate and transactional work. He is experienced in drafting and negotiating contracts for a variety of business-related matters including intellectual property licensing, employment, non-competition, confidentiality, and service agreements, as well as corporate governance documents such as operating and shareholder agreements. He also focuses on mergers and acquisitions, representing clients in the healthcare, technology, and retail sectors.

Edward is also well versed in private capital raising, having assisted clients in obtaining millions of dollars in private financing. He has significant experience drafting and negotiating original equipment manufacturer (OEM) agreements for clients in the technology industry.  In addition to his corporate and transactional work, Edward also works with clients in the estate planning arena including the preparation of wills and trusts and advising on the transfer of closely-held companies and assets.

Edward boasts a diverse legal background, having interned for the Hon. Joseph Bianco, United States District Court Judge for the Eastern District of New York, as well as for the Queens District Attorney’s Office, Narcotics Investigations Division. He also concentrates on corporate and intellectual property matters, commercial and government contracting, mergers and acquisitions, and International Traffic in Arms Regulations compliance.
