These services include: Forms 10-Q and 10-K; 8-K filings for extraordinary events; Section 14 routine and transactional proxy and information statements; Form 10 registration statements; and Form S-8 employee stock plans.

Representing sellers, buyers, investors, investment banks, private investment funds, and management groups in structuring, negotiating, documenting and filing the regulatory documents relating to M&A transactions, for both private and public companies with a focus on "going public" transactions including; APOs, or reverse mergers; our GPO, or self-underwritten offering; negotiated purchases and divestitures; tender offers; restructurings; leveraged buy-outs; and "going private" transactions.

Representing issuers and selling agents in connection with structuring and negotiating private placements of securities, including placements with private investment funds, offshore funds, broker/dealers, high net worth investors and other syndicate for placements structured to comply with limited offering exemptions under federal and state securities laws. We have structured innovative derivative securities in order to help reduce an investor’s risk while addressing an issuer's objectives.

Representing clients in protecting and preserving the value of assets, limiting the exposure and liability of shareholders, and structuring transactions with a view to possible exit strategies and taking advantage of available tax strategies through a variety of corporate structures.
