We have been privileged to launch medical practices, real estate companies, painting and roofing contractors, bars, restaurants, manufacturers and t-shirt shops. We established one of the first Limited Liability Companies in Alabama after the adoption of the initial LLC Act in 1997 and have kept abreast of the multitude of changes in LLC law ever since.
When a business is up and running, you want to protect the value you build. We register client’s trademarks, trade names, service marks and copyrights. We recently tried a trade name conversion case for a client which resulted in a verdict in excess of half a million dollars.
Our experience with the corporate side of business lends itself to certain advantages in litigation. Ownership disputes, whether they be partnership, corporate or LLC, can be complex and personal and costly. Having the knowledge base and skill set from one discipline lends itself to more positive outcomes in the other.
Notable recent trials include a landlord-tenant dispute resulting in a multi-million dollar verdict for a client that had been wrongfully evicted from her business. We successfully litigated an LLC ownership dispute under the new dissociation rules and kept ownership of the business for our client so that he could continue lucrative contracts with national cell service providers. Finally, we defended a shareholder derivative action on behalf of the majority shareholder of a regional restaurant franchisor, fending off a multi-million dollar claim and buying out the overly litigious partner in the process.
With great pride we watch the growing success of our start up clients along the Gulf Coast, including some very recognizable names in local vacation destinations.
