In what is probably one of the first cases to utilize Alabama's new statute on "dissociating" an LLC Member, we successfully removed a Member using Alabama Code Sec. 10A-5A-6.02. This statute, whi ... ch became effective January 1, 2015, allows a court to remove an LLC Member. Two brothers had engaged in a specialty contracting business that required a great deal of licensing and certification. One brother brought in twice what the other did. The low-earning brother also did things like pay for his hunting camp, boat, hunting equipment out of the Company. We were able to "dissociate" the other member and retain lucrative contracts with national companies.
OUTCOME: Case was settled, to our client's satisfaction.
We were able to assist a majority stockholder in removing an overly-litigious minority shareholder from a recognizable restaurant franchisor.
