I have been licensed to practice law in the state of Washington since 1985. During my 30 years of experience (as of 2015), I have become familiar with many areas of the law. Throughout that time I have represented many types of clients, including businesses of various sizes, individuals, and large national banks in their capacities as trustees. My practice has focused extensively on the following areas:
(1) Real estate matters - purchase and sale transactions (involving industrial, commercial and residential properties) from due diligence investigations to negotiating and drafting contracts and other real estate documents, reviewing and evaluating title reports, negotiating and drafting commercial and industrial leases, commercial and industrial landlord/tenant disputes, evictions, real estate title questions and disputes, easements, secured lending and foreclosures, and addressing environmental concerns;
(2) General business matters – choice of business entity, regulation, governance, management, employment, restrictions on competition, protection of confidential information, business disputes, and complex business transactions (purchases and sales, various types of contracts, corporate shareholder agreements, LLC operating agreements, etc.);
(3) Federal and state taxation - advice and planning for personal and business tax matters, both federal and state; and
(4) Estate planning and business succession - estate planning (wills, trusts, intra-family sales, and other means of wealth and business transfers), probate and probate avoidance.
Although most of my work is now transactional, I have conducted litigation many times, from actions in courts of general jurisdiction to representing creditors in bankruptcy. My appearances in court now are limited to probate and related and similar matters. Additionally, I worked for a brief time as in-house general counsel for a mortgage company.
Before college and law school I served in the United States Army for approximately one and one-half years, which included service in Viet Nam, rose to the rank of sergeant, and recieved an honorable discharge. After my military service, I worked with emotionally disturbed children for about seven years.
On the personal side, I have been married to my wonderful wife, Janice, for 36 years, during the last 33 of which we have lived in Seattle. We have two adult sons who, along with their spouses, also live in the Seattle area. We have one grandson. My favorite outside-of-work activities include spending time with our grandson, taking long walks, reading, and travel.
