I have always been an entrepreneurial minded attorney and have always wanted to focus on bridging the gap between practical business answers and  legal compliance. My experience, education and personality has provided me the opportunities to develop into a business adviser who  is equipped to navigate  legal hurdles as well as make strategic business decisions. I really enjoy working with small to mid-market companies on either the buyers or sellers side of the equation.  I have worked successfully with public and private companies, investors and financial advisors to organize, structure and execute on stock or cash transactions. I have represented startups and emerging companies in virtually every industry, including technology, manufacturing, services and retail. I have managed successfully a number of Series A and Series B financings, beginning with formation and initial capitalization, continuing with capital raising and commercialization through debt or public offerings.  Whether reviewing corporate formation documents, or maintaining corporate board meeting minutes for the corporate minute book and other stock records; I enjoy advising the C-suite executives in a "general counsel" capacity and providing legal compliance and structure to an often chaotic and competitive board room.
