Senior Corporate Counsel, February 2012 – March 2015

•Joined financial tech company as corporate counsel and strategic advisor to the company’s executives, where I focused on a variety of commercial and real estate transactions, state-to-state/government compliance, IP registrations and protections, sales, marketing, licensing and joint venture agreements, land use/zoning permit applications, state municipal hearings and day-to-day legal counsel on a variety of matters.

•Developed bespoke compliance and standard operating procedures for company employees, executives, partners and independent contractors.

•My practice focused on business, real estate, licensing, IP and employment transactions and litigation, including drafting, negotiating, and amending highly complex corporate agreements, real property purchase, development and lease contracts, land use/zoning applications and commission filings, and a variety of other legal instruments and negotiations (strategic mergers, start-up Angel/Seed/Series and venture capital investments, corporate formations, REIT multi-unit acquisitions and sales, and mezzanine/bridge financing). 

•Assisted in commercial property developments and project management, lease negotiations, landlord/tenant disputes, construction bids and negotiations and various other matters.

•I also worked as a litigator, taking a number of cases through pleadings, discovery, dispositive and evidentiary motions, and winning 2 trials as the 1st chair attorney.

•  While the majority of my practice focused on complex corporate matters, I did have the opportunity to litigate a diverse set of cases while at Newmeyer & Dillion, ending with multiple trial victories and 0 losses. These multi-day jury and bench trials involved causes of action for breach of contract, accounting, financial loss, unjust enrichment, fraud, conspiracy to defraud, breach of express warranty and promissory estoppel, among others, with all verdicts awarding my clients all requested damages and legal fees.

•Clerk to Circuit Court Judge handling civil litigation matters.

•Drafted bench memoranda regarding complex legal issues, including motions to dismiss, MSJs, motions to compel discovery and a variety of other pleadings. 

•Also provided detailed legal research, drafting bench orders and judicial decisions, analyzing motions and pleadings filed, and advising Judge Bartkowicz and other staff attorneys on the legal arguments (written and oral) and thematic positions of all parties in over 50 cases.
