I am on L1B visa here with my wife who is on L2. Our i94 is valid till sept 2012 but the visa is getting expired on Jan 2nd 2011

As long as her visa is valid, she will not be refused entry into the U.S. Her new I-94 should have an expiration date of September 2012.

Im on L1B visa valid till 2013, at port of entry my I 94 was stamped till may 2012 wrongly considering my first entry in May2007

You don't need to correct anything. Simply apply for an L-1B extension 3-4 months prior to the current expiration date.
