Ronald J. Logan emphasizes representation of investors and emerging companies in his business transactions practice and has over 40 years of experience in complex civil litigation.
Mr. Logan’s practice emphasizes (a) preparing restricted securities opinion letters and related restricted stock matters, (b) preparation of business plans, marketing plans, analyst reports and investor presentations, (c) business transactions, (d) corporate minutes, resolutions and communications with stock transfer agents, (e) employment and consulting agreements, (f) acting as a consulting attorney in management disputes and (g) assisting attorneys for privately-owned companies in the process of going public.
In 2002, Mr. Logan began writing restricted securities opinion letters for shareholders who held restricted stock in small public companies and had experienced difficulty finding an attorney to provide third-party legal opinions at a fair price. Logan Law Firm has since become a leader in providing different types of restricted securities opinions for shareholders around the world. Mr. Logan also assists small public companies to develop internal procedures and forms for corporate actions related to the issuance of stock to facilitate the eventual resale of those securities in the public markets by the issuer’s shareholders..
Between 2001 and 2014, Mr. Logan was outside counsel for two offshore funds in Malaysia that invested in emerging U. S. technology and natural resources companies at the $1 million to $10 million level. Mr. Logan assisted the funds with their process of identifying investment opportunities and due diligence and prepared analyst reports on companies selected for investment by the funds. The funds ceased operation when their founding Director retired in 2014.
Mr. Logan has extensive experience in assisting small and medium sized businesses throughout the growth process, including preparation of business and marketing plans for financing efforts. He has also prepared many analyst reorts on emerging companies for potential investors.
Mr. Logan received a B.A. in Journalism in 1966 from the University of North Carolina at Chapel Hill and a Juris Doctor degree from the UNC- Chapel Hill School of Law in 1971. Mr. Logan was a member of the law school’s national moot court team in 1969 and served on the Holderness Moot Court Bench in 1971. Mr. Logan came to Arizona in 1972 to accept a position as law clerk to Vice-Chief Justice William A. Holohan of the Arizona Supreme Court and has been in private practice in Phoenix since 1973.
Mr. Logan is admitted to practice before the United States Ninth Circuit Court of Appeals, the federal District Courts for the District of Arizona and the Central District of California and the trial and appellate courts of Arizona. He has appeared pro hac vice in the trial courts of California, Florida and Washington.
