I handle everything from entity formations to contract drafting to disputes between business owners. I've drafted and analyzed asset purchase agreements, buy-sell agreements, option purchase contracts, purchase and sale agreements, settlement agreements, independent contractor agreements, leases, employment agreements, noncompetes, NDAs, and corporate governance documents.

Working with developers, investors, and property owners is a true passion. I assist such clients with landlord-tenant disputes, property acquisitions and sales, and transaction analysis. I recently negotiated closing of $4,000,000, 199,418 sq.ft. office complex, worked with equity partner and REIT as seller.

I've successfully defended a corporate client against claims of unjust enrichment and fraud with $400k in damages, obtained a judgment in excess of $100k on my client's breach of contract counterclaim. I've also taken lead in a suit against a county for a First Amendment violation, a breach of contract action representing a corporate client suing a satellite content producer, and representing a candidate for U.S. Senate in ballot access litigation.

I've worked with elected officials, corporations, industry groups, and business leaders to develop political and election strategy for campaigns and ballot initiatives. I have years of experience helping my clients navigate the complex tax and campaign finance regulatory mazes to accomplish their goals, including through the formation and operation of 501(c)(4), 501(c)(6), 527, and independent expenditure only ("Super PAC") organizations.
