Biography
I have been licensed to practice law since 1989 and have practiced primarily in the areas of business transactional law and business litigation. I represent businesses from incorporation to dissolution, and handle almost all areas in between - I provide general business advice, review and prepare contracts that are specific to my client's situation, prepare debt financing agreements (including revolving credit facilities and security agreements), and prepare private placement offerings. My clients are primarily private companies.
In addition to my business law practice, I also handle attorney ethics and grievance defense cases. I have successfully represented many attorneys throughout the State of Texas, some of whom are very prominent attorneys, in grievance defense cases. The vast majority of the grievance matters I have handled were dismissed at the grievance level, though I have also won dismissals of some defense cases by summary judgment and after trial on the merits. I have testified as an expert in ethics in many grievance matters on behalf of attorneys who had grievances filed against them and in a civil dispute between a client and his attorney.
I am a big believer in plain English, and I make significant efforts to make sure my clients can read and understand their contracts.
Until COVID-19 hit in early 2020, I was active in The Rotary Club of The Woodlands and participated in many of our Club's community service projects. I also founded and served for many years as a member of the Board of Directors and as Secretary of The Woodlands Rotary Club Foundation, a 501(c)(3) non-profit corporation. I incorporated the Foundation and applied for and obtained its 501(c)(3) designation. TWRCF provides need-based college scholarships for students at local high schools and local colleges, as well as support for other local chartities and community service projects.
