Not a Fan of Ken

2019 hired Ken to organize a series LLC and spent a few thousand dollars with him. Years later I had a different attorney spot a mistake on one of Ken's state filings. State of Texas confirmed it was a mistake. Rather than offer to have state correct it. Ken offered a snide reply, went on to belittle... me personally during this process, disparaged the other attorney because of his email domain name, and disparaged his bio calling him a "shade tree lawyer". All of this is document by email. I've never experienced such unprofessionalism. Literally sent me a barrage of one sentence emails in anger, completely baseless and oozed of a bruised ego. I cannot explain in words how bewildered I was by the whole reply. Unbelievable.

This latest review is the third attempt by Mr. Tole to either retaliate for my refusal to give him free self-help advice or for confronting him with not being candid. AVVO deleted his first post because it did not comply with its guidelines and a second post on Facebook has been deleted or hidden from my timeline after I reported it. At this juncture, it seems that Mr. Tole is engaging in defamation and business disparagement of Wigginton | Green; so, it is time to set the record straight. Mr. Tole came to me about three years ago after he had acquired numerous rent houses without professional legal advice and assistance. He had massive exposure due to many of the rent houses being titled directly to him, friends or family, and he also had attempted to create LLC’s to hold title to others that were not properly formed. I performed a variety of LLC work “cleaning up” his business, from converting one company to a Series LLC (the company in question) to amending operating agreements that had been downloaded from the internet and were not applicable to his business structure. I performed this work at a discounted rate because that is my practice with new small business clients and I wanted to demonstrate to Mr. Tole that at the end of the day, it is less expensive and time consuming to have things done by a lawyer first rather than bringing in an attorney later to clean up self-help. It is relevant to note that, prior to this latest episode, Mr. Tole stopped engaging us after we started billing for advice and declined to give him information to pass along to “another attorney helping him” with something. The episode at hand started with Mr. Tole emailing to see if “we were still in business”, saying that he had another attorney helping him with some king of a cloud on title case involving the LLC I converted to a Series LLC, and that that attorney needed to know about the Certificate of Formation and the first line on the Secretary of State’s form stating that the old name, rather than the new name of the company should be listed. (I had listed the new name, KQ West Series, LLC, rather than the old name, KQ West, LLC which is my practice, primarily for the SOS’s search engine to pick up the new name in subsequent searches.) In short, that doesn’t matter. What does matter is the Certificate of Filing, referenced above. I explained that to Mr. Tole and he then asked that I relay this to his “title attorney”. I attempted to do that with the email address Mr. Tole provided and received no response. Mr. Tole then said he had given me the wrong email address and to send it to a Hotmail address. The Hotmail address for his “title attorney” produced the website for a personal injury attorney with the same identity. It is also relevant that I have never received a response to my email to Mr. Tole’s “title attorney”, and each time Mr. Tole has urged me to help him with this, the reason needed for the information has seemed to morph, just has Mr. Tole’s reviews have morphed. The obvious conclusion is that either Mr. Tole’s “title attorney” does not have a relationship with Mr. Tole, is unqualified to practice business law, or that Mr. Tole is using this attorney’s identity to again get free advice from this office that he can use for self-help. Wigginton | Green will not enable that. Mr. Tole’s assertions that a mistake was made in the amendment to his LLC and that the Secretary of State has confirmed that are not persuasive. The Secretary of State does not offer opinions on filings, and either rejects or accepts the filing. In this case, the filing (amending KW West, LLC to KW West Series, LLC) was accepted as referenced and shown on the attached Certificate of Filing. Mr. Tole’s ad hominem are concerning. It is apparent that he is engaging in a crusade to defame and disparage. I trust that AVVO will not enable him either. Best Regards, Ken

Detailed, efficient, and patient!
