We help clients develop their business plan by carefully analyzing the correct entity choice and organizational structure for their new business. We proceed by looking at governance, management, tax, and capitalization issues. Once that plan has been developed we draft all organizational documents to put it in place, seeing the client through the entire process. We can also help clients in restructuring an already existing business.

The intellectual property of a business is one of its most valuable assets. To ensure that these assets are protected, we will conduct a thorough review of all aspects of the business and identify those parts that could be protectable as intellectual property. This includes copyrights, trademarks, trade dress, trade secrets, and patents. We can then assist our clients in securing this protection in the form of copyright and trademark registration.

We assist clients in complying with the securities laws in both the purchase and sale of securities. Federal and state securities laws will almost always play a role when capitalizing a business or selling an interest in that business. We represent both sellers and purchasers of securities.
