Cody’s experience includes assisting clients with all aspects of buying and selling businesses, including tax planning and structuring. He also helps clients with entity formation, including evaluating, choosing, and implementing the right partnership, corporate, or non-profit structure depending on the client’s business and tax objectives. In addition, Cody assists clients in connection with different finance transactions such as conventional lending, bonds, and tax credit transactions, among others. He also helps clients with various aspects of tax planning, including counsel related to qualified opportunity zones and setting up qualified opportunity funds, and Income Tax Code Section 119A pass through deduction planning.
Prior to joining Kerr Russell, Cody served as a tax associate with an international “Big 4” accounting firm where he advised on various aspects of federal, state and local taxation. Cody assisted with tax advisory relating to corporate restructurings and mergers and acquisitions. He was also involved with credits and incentives such as working with local community development entities in applying for new market tax credit allocations. Cody also has significant tax controversy experience including petitioning the Michigan Tax Tribunal and assisting with defending clients before the IRS and State of Michigan. Previously, Cody worked as a tax associate for a boutique tax controversy law firm in Southfield, Michigan.
Cody graduated from Wayne State University Law School where he was a member of The Wayne Law Review, Transactional Law Competition and Environmental Law Clinic. He holds a bachelor of science in business administration with a major in accounting from Wayne State University, cum laude.
