I assist small businesses throughout Ohio from formation, to business model development, to contracts & strategic partnerships, to investments, through to exits. I draft all sorts of documentation, from Operating Agreement, to stock purchases, to withdrawal agreements, and other corporate documentation that would be required to establish who has what rights in any given entity.

I draft all levels of documentation and LLC structures, including unique multi-unit class structures in complex organizations. I also recognize that sometimes, simple is best, and will document to protect the members of a business, but not over-document to avoid a business being bogged down in day-to-day paperwork required to run the organization.

I assist individuals and small businesses in acquiring and issuing debt instruments, including drafting of notes, securitization of such notes, financing statements and restructuring of debt.

I assist companies will development of creative compensation plans and equity grants. I also assist individuals in negotiation and analysis of their compensation plans.
