Great Attorney

The Heritage Isle District Association in Viera, Florida recently completed the purchase of the Community Club. The deal was complex in that we were financing the purchase through the ownership group who would act as the sub-lender. The purchase price of the property was nearly $18 million in that ...it was based on cash flow projections rather than the appraised value of the property. In addition, the District Board was exercising an ‘early purchase’clause and as dictated by the Community Covenants such a purchase put all of the bargaining control in the hands of the owner. We felt that we faced an uphill battle and knew that we had to secure the best possible legal assistance. Our search led us to Rice Law Firm in Daytona Beach, Florida. We were fortunate enough to come across the resume of Mr. Ray Schumann. Ray has the rare distinction of being a Florida Bar Board Certified Real Estate Attorney. Members of the Club Purchase Steering Committee interviewed Ray and we knew early on that we had made the right choice. The purchase negotiations were carried out over 2+ months. The working group was in constant communications. Through Ray’s consult we laid out and executed a thorough due diligence plan. He developed several documents upfront that allowed for a Board Resolution to proceed with the purchase. That opened the door to full blown negotiations that ranged from pertinent sales documents, a management contract and financial terms. I would determine that we proposed some 150 language proposals during the process and had over 90% accepted. In addition, in the final contract we negotiated upfront one-time savings of $100,000 and sustained annual savings of $425,000. Again, our group was facing steep odds in gaining any advantage in that we were initiating the ‘early purchase’ clause and yet with a team effort and the steady guidance offered by Ray, we were able to create a deal that will greatly benefit the community and it’s residents for years to come. In the process, we have made a friend in Ray Schumann. We had some 20 conference calls some lasting 2+ hours Behaves with honesty and integrity Cost effective Demonstrates a tremendous depth of knowledge in the area of Real Estate Law Engaged in constructive conflict Promotes business value Finds and exploits new strategies Generates and encourages creative ideas Takes calculated risks and manages them intelligently Thinks analytically and acts decisively Makes the complex clear and compelling In negotiations served as the voice of the customer In closing, it was one heck of an effort on everyone’s part to consummate the deal. There is no way that we make it happen without the expertise brought to the table by Ray Schumann and his associates at Rice Law Firm.
