I've served as the principal legal counsel for dozens of businesses ranging from small private ones to New York Stock Exchange listed companies in many industries including technology (computers & peripherals, medical), real estate and REITs, hospitals, lease-to-own, insurance, and appliance and auto parts manufacturers. I've also assisted clients in acquiring and in selling companies and subsidiaries in various industries including appliances, car rental, technology, insurance & real estate.

I've been the principal securities attorney for more than 15 public companies and for many private ones. I've also been responsible for numerous debt financings (public, private and financial institution) including various sorts of subordinated debt with a variety of features, including warrants, exchange features, and guarantees, and for bank syndicated term loans and revolving loans (including Eurodollar loans).

I've assisted clients in organizing corporations, professional corporations, general and limited partnerships, limited liability partnerships, limited liability companies, and real estate investment trusts engaged in a wide variety of business activities.
