I represent borrowers in obtaining debt financing, including drafting offering memoranda and registration documentation, and drafting and negotiating financing term sheets, loan and security documentation and underwriting agreements. My experience includes project loan syndications, hybrid project and corporate credit financings, private placements, public bond offerings, Rule 144A offerings, leveraged lease financings, construction financing, and various structured financing arrangements.

I represent publicly traded and privately owned businesses in matters involving securities regulation and corporate governance. My experience includes representing issuers in a broad range of securities activities, including public offerings and private placements of debt and equity securities, tender offers, and preparation/review of periodic reports filed with the SEC. My experience also includes representing large utilities with over $5 billion corporate and capital markets financings.
