I wish that I had enough writing space to express just how competent and skilled Brian Loffredo has been with respect to my legal matter. Brian came to me as a highly regarded referral and I first reached out to him in the midst of a very busy holiday week. Even with that being the case, Brian return...ed my call immediately. I gave him a pretty tall order, which required a very quick turnaround. I requested that he review a franchise disclosure, document, as well as a franchise agreement within a very tight window of time. Not only did he execute the tasks with a very quick turnaround, but his analysis in reviewing those documents was nothing short of outstanding, I have found Brian to be very conscientious, detail oriented, results oriented and he took the time to listen - which was so important to me as his client. Again, during what was a very busy holiday week, he spent nearly 5 hours with me going through his copious notes and analysis. I would highly recommend Brian with respect to any legal matter. He is a consummate professional and I have truly appreciated his superior level of commitment to me, as his client. Excellent Franchise Attorney

Brian represented my husband and I with the recent purchase of a Franchise. We were very impressed with Brian from the first point of contact until the contract was finalized. Brian used his extensive knowledge of Franchise agreements and laws to identify sections of the contract that he thought ne...eded to be re-negotiated on our behalf. Brian’s attention to detail is remarkable, he reviewed our agreement and then devised a plan for us to receive credit towards Royalties based on our client base prior to becoming a franchise. He also wrote several addendums to the agreement and negotiated with the franchisor to accept the addendums as part of the agreement. Brian was very prompt in returning phone calls and emails; making himself available whenever we needed him. We would highly recommend Brian to anyone who is thinking about purchasing a franchise, he is someone who you definitely want on your team representing you. Throughout the process Brian remained very professional but firm with the negotiations and ended up getting everything he wanted to have in our agreement. Even after the agreement was signed and finalized, Brian made himself available for questions, suggestions and clarification any time we called upon him. He loves what he does and it shows in his work!

Franchise agreement

Brian assisted me with the review of the franchise agreement and some parts of the negotiations. I honestly couldn't have found a better attorney to assist me through the process. I had give. The FDD to Brian on a Friday and he had completely reviewed it and made his notes by that next Monday. His no...tes and comments didn't just help me understand the worst case scenerio, but he also sat down with me and discussed items that should be negotiated or reworded in the agreement. I highly recommend Brian for anyone looking to start a franchise.

Franchise Purchase

Brian represented me in a recent transaction in which I entered into a Franchise Agreement. I was in the fortunate situation that he had previously represented other owners of the same franchise so he was already familiar with the franchisor, their agreement and their level of tolerance for making c...hanges to the agreement. During our initial discussion he relayed to me his view of the franchisor and where they fall on the "integrity" spectrum compared to other franchisors and was very clear about what language they may be willing to change. However, what I was very pleased and impressed with was the detail in which he reviewed the agreement, although he had previously seen it when representing the current owners he had represented, and the resolve he demonstrated in his interaction with the Franchisor to push for changes in the agreement. In addition, although I live outside of Philadelphia and Brian is located in Baltimore he stressed his desire to meet in his firm's Philadelphia office so he could review the agreement with me and discuss suggestive language changes face to face. At our meeting Brian presented me with a binder that contained a copy of the agreement with his original hand written comments and notes. Where I thought the meeting would simply be reviewing suggestive language revisions he proceeding to review the entire document with me with the intention of educating me on the various sections of the agreement plus he highlighted sections in which he felt the language was similar or better than the average franchise agreement or those areas where the language may be a concern. Although not an attorney I have experience in reviewing legal documents but I found his review very worthwhile and valuable. He then took time to discuss his suggestive language changes and the probability as to whether the Franchisor would accept such changes and I found his input very valuable as to which changes to submit to the franchisor. Due to a delay on the Franchisor's part in getting the agreement to Brian we were up against a tight deadline in order to meet the desired close date on the agreement. Brian spent significant time during the weekend prior to the close in discussions with the franchisor and their attorney regarding changes and was able to score a big win for me regarding certain changes to the agreement. I wouldn't hesitate to recommend Brian to any perspective franchisee and plan on using Brian's services going forward as I need legal counsel for my business. Thanks Brian!!!
