Overview:
Nathan joined Spengler & Agans in Summer 2023. He routinely advises clients on, and drafts and negotiates technology agreements for, data and intellectual property transactions, including technology and data transfers and licensing; collaboration, strategic alliance, and joint development agreements; distribution, resale, and marketing agreements; SaaS and source code licenses; and open source issues. Nathan’s work encompasses technologies and industries of fintech, healthcare IT, cannabis tech, security, robotics, climate tech (e.g., green hydrogen and clean energy), dental products, autonomous driving technology, voice modulation, aerospace manufacturing, and AI and AI-assisted platforms. Nathan also helps small businesses with entity formation, commercial lease and franchise agreement negotiation, and corporate governance matters.
Prior to joining Spengler & Agans, Nathan was a senior associate in Goodwin Procter’s Strategic Technology Transactions and Licensing Group in Boston, Massachusetts, a technologies transactions associate and IP litigator at Sidley Austin in Palo Alto, California, and a patent prosecutor at Knobbe Martens in Orange County, California.
Nathan spent a year in South Korea completing his MBA, as part of his joint degree with Maurer School of Law. In undergrad at Portland State University, Nathan’s capstone project comprised designing and performing micro-gravity fluids experiments for NASA, including flying in the KC-135 “weightless wonder.”
In his free time, Nathan enjoys spending time with his wife and young child, woodworking, cycling, supporting Liverpool FC, and listening to Phish.
Experience:
Nathan is well-versed in negotiating technology licenses and commercial contracts, buy-side and sell-side mergers and acquisitions, and pre-seed to pre-IPO investments. Recent representative engagements include the following:
• Negotiated development and commercialization agreements (and related amended and restated agreements) related to data collection from physicians.
• Advised client on source code license to Hong Kong subsidiary and sublicense to Chinese parent related to fin-tech platform.
• Negotiated multiple collaboration and reseller agreements for warehouse software developer.
• Advised private equity client on IP aspects of $40 million purchase of target company providing products for law enforcement, military security and fire.
• Advised client on IP aspects of $2 million Series A investment into developer of electrochemical technology for storing energy in zinc material.
• Advised on IP aspects of $40 million Series B stock issuance for client providing autonomous driving solutions for commercial environments.
Professional & Civic Engagement:
Nathan enjoys giving back to the community and helping non-profit organizations that provide needed social services to individuals. Nathan’s pro-bono work has entailed representing low-income clients from eviction actions, advocating for inmates seeking clemency or other equitable reduction in sentences, and assisting immigrants in U.S. naturalization proceedings.
