Representing issuers and investors in over $10 billion in debt and/or equity public and private offerings, including initial public offerings, shelf offerings, venture capital financings and angel rounds, as well as the issuance of registered stock in mergers and acquisitions.

Representing venture capital funds and pre-exit technology companies in venture capital investment transactions; providing governance advice and structuring equity terms.

Served as chief administrative and senior operations executive for a $100+ million Appalachian oil and gas production company, developing an intimate knowledge of oil and gas transactions, joint ventures, leasing and land matters, and energy derivatives; has more recently worked with exploration companies on matters relating to large-scale Marcellus Shale acquisition and development.
