Ryan William McNagny

Ryan McNagny is an associate in the firm’s Corporate Services and Commercial Litigation practice who focuses on helping businesses resolve complex disputes, protecting and managing intellectual property portfolios, and handling all varieties of day-to-day legal needs. His experience covers a wide range of commercial litigation as well as mergers and acquisitions and matters pertaining to corporate governance and executive compensation.

Ryan has served clients including international clothing distributors, high-end apparel brands, cosmetics and personal care companies, consumer electronics manufacturers and distributors, construction companies, real estate investment firms, small business owners, and high-net-worth individuals, among others. His practice includes negotiating and drafting a range of corporate agreements including formation and governance documents, asset sales and acquisitions, real estate contracts, and other corporate resolutions; advising clients on contract and lease disputes and preparing demand letters, cease and desist letters, and other corporate responses; and assisting with all stages of litigation.

In addition, Ryan devotes a significant portion of his practice to intellectual property matters, managing a large portfolio of U.S. and international trademarks. He assists clients with all aspects of intellectual property registration, management, and litigation, including filing applications and assignments, responding to U.S. Patent and Trademark Office actions, instituting opposition and cancellation proceedings, and offering general IP counsel.

Ryan earned his B.A. at the University of California in Los Angeles and went on to earn his J.D. at the Benjamin N. Cardozo School of Law, concentrating on corporate, commercial, and securities law and participating in the school’s Intensive Transactional Lawyering Program. While there, he was an associate editor of the Cardozo Law Review and a “Lawyering and Legal Writing” teaching assistant. Ryan gained additional experience serving a legal externship with the New York State Department of Financial Services, where he advised banking, financial, and insurance entities on department regulations.

Represented the lender in connection with an intercompany loan of $3 million to a luxury watch retailer.
Represented a non-profit organization in connection with a $2.74 million loan consolidation.
Represented a national ice cream retail chain in connection with the negotiation of a commercial lease in New York City.
Represented a high net worth individual in connection with the purchase of a $3.7 million residence.
