My clients are of the highest priorty to me and I treat the attorney-client relationship as a partnership rather than as a business relationship.  My client's business is my business and as an advisor and counselor, I strive to be efficient and goal oriented and I learn each client's operations and business as if it is my own.  As a founding shareholder of my firm, I am intimately familiar with the framework my clients work within, both professionally and personally, and I have experienced the demands of both start-up companies as well as operating companies.

My practice covers all aspects of business and individual federal, state, local and international taxation and business law including advising S Corporations, C Corporations, LLCs, and partnerships.  I work with business entities from their inception, including choice of entity, drafting various formation / governing documents such as operating agreements, partnership agreements and shareholder agreements and the ongoing governance all companies need.  Often, I am brought on to settle shareholder/equityholder disputes and to redraft the entity's governing documents.

I also represent both buyers and sellers in mergers, acquisitions and divestitures and advising clients regarding taxable and non-taxable reorganizations, restructurings, spin-offs and recapitalizations.

In addition to for-profit activities, I routinely counsel nonprofit organizations regarding corporate governance and tax-related issues and I assist "start-up" non-profits with their formation and completing exemption applications.

Further, I assist clients with federal, state and local tax controversy matters, including audits of corporations, estates and individuals, replies to assessments, abatement requests, and appeal.
