Kelly A. Carroll

Kelly has represented several businesses and/or their owners in a variety of commercial disputes, including: shareholder disputes and derivative actions, business torts, actions for emergency relief, tax audit and appeal processes, actions for accountings, business valuations and breach of contract claims. Additionally, Kelly has represented several healthcare entities in the defense of healthcare fraud, government recoupment and decertification actions.

Kelly also has extensive experience in corporate law, including: business entity formation, corporate governance, wind-up and dissolution, mergers, acquisitions, stock and asset purchase agreements, buy-out negotiations and the likes.

Subsequent to her time at Buzogany & Associates, LLC, Kelly worked in the Business Transactions and Corporate departments at two large law firms in Chicago representing financial institutions, venture capital, private equity, hedge funds, and large public and private companies to draft and finalize various agreements, business plans, and contracts, conduct due diligence, and prepare by-laws, operating and shareholder agreements, minutes, consents, resolutions, and annual reports. Additionally, Kelly served as a U.S. Congressional intern for the Office of the Speaker of the House of Representatives in Washington, D.C. where she was responsible for researching and drafting policy memorandums, and reporting on House and Senate Committee hearings.
