I advise many business entities in corporate governance and operational matters. My representation extends to compliance issues including adherence to statutes, ordinances and laws in the areas of real estate development, and commercial land use.

I regularly represent professionals and business entities in the negotiation, review and preparation of contracts with third parties such as independent contractors, consultants, employers/employees, licensors/licensees and vendors. These relationships usually call for contracts such as employment agreements, severance agreements, profit sharing agreements, restrictive covenants, joint venture agreements and confidentiality agreements.

I assist clients with all aspects of their business beginning many times with the negotiation and formation of business entities such as corporations, both public and privately held, partnerships, professional corporations, limited liability companies and partnerships, joint ventures and the review and preparation of documents, agreement and filings necessary to effectuate the formation of the business entity.

I work to enforce and protect our clients’ intellectual property rights and work with clients in the areas of technology licensing and acquisition, and advise clients regarding venture funding.
