As General Counsel of PMA Venture Capital Group LLC, I provided direct legal oversight, corporate governance and strategic guidance for all business activities of a boutique venture capital firm engaged in debt and equity financing of start-up companies operating within health and wellness-focused areas of industry. My responsibilities included all of the following:

• Structure and draft funding agreements, operating agreements, partnership agreements and corporate bylaws.
• Draft business contract agreements, stock and asset purchase agreements and convertible debt and equity financing instruments.
• Structure and draft real estate purchase and sale agreements for commercial and residential real estate transactions.
• Partnership, LLC, C corporation and S corporation formation.
• Ensure regulatory compliance with all applicable state and federal statutes and regulations.
• Structure and draft employment agreements, intellectual property agreements and non-disclosure (“NDA”) agreements.
• Serve as integral member of investment team in deal sourcing/screening and work with other members to establish deal flow.
• Determine valuation of private start-up companies and/or closely held corporations to evaluate investment potential, maximize efficiency of selected investment vehicle and supplement opportunities for post-acquisition value maximization.
• Restructure portfolio companies to emphasize operational logistics, augment output, streamline business entity structure, maximize return on investment and increase efficiency of key management personnel.
• Analyze financial statements, economic trends and other market factors to identify key sectors of industry for investment focus.
• Perform due diligence to evaluate and mitigate varying levels of risk during seed funding and Series A financing rounds.
• Actively provide counsel and oversight during forward-facing strategic planning for IPOs and other liquidity events.
