Charles Richard Kraus

Charles Kraus is a Canadian and U.S.-qualified associate in the Calgary office of Stikeman Elliott. Mr. Kraus' practice is focused on cross-border public and private capital markets transactions, mergers and acquisitions and corporate governance.

In his capital markets practice, Mr. Kraus frequently represents underwriters, issuers and major investors in both public and private securities offerings, including Canadian "bought deals" and prospectus offerings, U.S. MJDS offerings, "offshore transactions" under Regulation S, and private placements in the U.S. under Rule 144A and Regulation D.

In his M&A and corporate governance practice, Mr. Kraus frequently acts for Canadian and U.S.-based public and private companies in a broad range of asset and share transactions, including by way of take-over bid and plan of arrangement. Mr. Kraus frequently advises Canadian clients regarding accessing the U.S. capital markets, including U.S. exchange listings and compliance with the U.S. Sarbanes-Oxley Act.
