I mainly represented middle-market, privately held companies that are acquiring other companies or being acquired by other companies, private equity funds or venture capital companies. I advise companies regarding all aspects of mergers and acquisitions, from due diligence review through negotiating and drafting merger agreements, confidentiality agreements and other ancillary transaction documents.

I obtained an LL.M. (Master of Laws) degree in Taxation from NYU School of Law. I use my knowledge of corporate, partnership, individual, and estate & gift taxes in all aspects of my practice.

I assist in planning the organizational structure and drafting governing documents for corporations, LLCs, S-corporations, partnerships, and nonprofit organizations. I advise on executive compensation issues, draft purchase and sale agreements, shareholder agreements, and negotiate and draft other transaction documents.

My practice focuses on drafting wills, trusts, and family partnership agreements for individuals and families. I assist family-owned businesses with succession planning.
