Michael Paluska

I have practiced business and real estate transactional law in Salem since 1996.

My clients are the privately owned companies that make up most of Oregon's economy: family businesses, manufacturers, professional service firms, farmers and vineyard owners, and commercial property owners and investors across the Willamette Valley. Some have been with me for decades. A few I helped form, and later helped sell.

The work itself is straightforward to describe. I form LLCs and corporations and set them up correctly from the start. I prepare annual corporate minutes and handle the compliance that keeps a liability shield intact. I draft, review, and negotiate business contracts. I guide owners through buying or selling a business, and through succession planning when it is time to hand the company to family, partners, or an outside buyer. On the real estate side, I handle commercial and agricultural purchases and sales, farm and commercial leases, easements, and deeds.

What clients tell me they value is that I listen first. Before anything gets drafted, I want to understand what you are actually trying to accomplish. Thirty years of doing this tells me which questions to ask, and I answer in plain English rather than legal jargon.

I am also an Oregon Principal Real Estate Broker, which means my advice on farmland, vineyards, and commercial property is informed by three decades of hands-on real estate experience alongside the legal work.

I am not a litigator. I am the attorney business owners call before there is a problem, and the one they call when a transaction needs to be done right.
