Victor focuses his practice on corporate and real estate transactional matters, including commercial and public finance.   

Corporate and Real Estate Transactional Work
Victor has experience representing corporate and business clients in connection with a variety of transactional matters from entity formation and restructuring to complex mergers and acquisitions. He regularly represents clients in connection with the acquisition, sale and leasing of real property. 

Commercial Finance
Victor has extensive experience representing financial institutions and borrowers in connection with secured and unsecured loan transactions. Victor's financing experience includes syndications, borrowing base financings, mezzanine loans, real estate secured term and construction loans for office, retail housing developments and health care facilities, lines of credit and factoring agreements. He advises his clients in connection with loan workouts, restructurings, foreclosures, discounted payoffs and deeds-in-lieu of foreclosure. 

Public Finance and Economic Development
Victor's finance experience includes acting as bond counsel, underwriter's counsel, letter of credit bank counsel, borrower's counsel, and issuer's counsel on a variety of tax exempt bond financings. He also counsels government entities in relation to economic development projects and public-private partnerships. 

He has handled a wide range of corporate and finance transactions including:

• Represented a Port District as bond counsel in connection with the issuance of $50 million in revenue bonds sold to an institutional investor in exchange for a very flexible and cost effective line of credit to fund port construction projects.
• Advised a lender in connection with a $30 million construction loan for a project which received a vertical housing tax exemption. 
• Represented a major financial institution and managed a team of lawyers in connection with the restructuring of a $100 million commercial real estate-secured loan portfolio involving real estate assets in eight different jurisdictions.
• Represented a client in connection with the sale of a portfolio of long term care facilities and the acquisition of commercial properties subject to triple-net leases valued at over $150 million using a series of 1031 exchanges. 
• Negotiated and drafted loan documents for a major financial institution in connection with a syndicated borrowing base loan facility to a home builder for over $100 million.
• Advised a client in connection with the acquisition of a controlling interest in a global agricultural company and the financing of operations. 
• Counseled a vineyard in connection with a term loan facility.
• Advised a major petrochemical company in connection with the acquisition and sale of real estate assets surrounding a former refinery site and the development of a public storm water sewer to mitigate environmental issues. 
• Negotiated the reorganization of a real estate holding company.
• Represented a California charter school as borrower's counsel in one of the first tax exempt bond financings in the State of California for a charter school. 
• Advised an international fashion company in a variety of real estate, corporate, and contract matters.
• Represented various clients in connection with the purchase and sale of business assets out of bankruptcy and receivership. 
• Represented a real estate development company in connection with an appeal or taxes related to a tax increment financing district. 
• Advised a client in connection with a loan to be secured by assets located in Denmark. 
• Counseled a client in connection with a loan of proceeds from a bond to be issued on the Frankfurt Open Market.
