James (Jay) Landrum practices in the fields of Corporate & Securities andIntellectual Property, and has extensive experience representingcompanies in all stages of operation.

While serving as General Counsel for a NYSE company, he developed creative,business oriented solutions for an industry leader with thousands of dealers inits network. As a founder and former CEO of a health products company and as a founder of a SaaS business (), hehas first-hand experience in developing a business from inception, includingorganizational matters, technology licensing, manufacturing agreements,fund-raising, franchise agreements, and merger transactions.

His current corporate practice emphasizes business transactions,including entity formation, buy-sell agreements, and financingtransactions (venture, private and debt), as well as day-to-day legalrepresentation. Contracts & licensing are primary practiceareas, including hardware and software licensing agreements,non-disclosure agreements, distribution agreements (such as dealer, distributorand manufacturer representative agreements), licensor/agent/licenseerepresentation, and artist and author representation. Based on his manyyears of experience in the field of art publishing and artist representation,he has also served as an expert witness in the area of artlicensing.

He frequently serves clients as counsel in acquisition and mergertransactions, including purchases and sales, asset and stockacquisitions, mergers and joint ventures, and also in technologytransactions, such as development agreements (website, softwaredevelopment), manufacturing agreements (OEM, VAR), and technologyoriented purchase and sale agreements.

In the field of Intellectual Property, he assists clients indeveloping tailored intellectual property portfolio protectionand enforcement programs, handles trademark and copyright filings andenforcement, and provides counsel on employee theft and trade secret misappropriation.
