Glenn J. Luinenburg

Glenn Luinenburg is a Partner in the Palo Alto office of WilmerHale in the Transactional Department and Corporate Practice. Mr. Luinenburg is an experienced corporate lawyer with a diverse practice focused on the representation of technology clients. He has completed transactions for companies at all stages of development, from IPOs and acquisitions involving multibillion-dollar global enterprises to work for entrepreneurial technology start-ups and venture capital firms.

Mr. Luinenburg has completed more than 100 public offerings and venture capital financings involving the issuance of equity and debt securities, representing issuers, underwriters and investors. His recent public offering experience includes IPOs for ExactTarget, Pacific Biosciences, Tesla Motors, and NextG Networks. Mr. Luinenburg also has extensive experience on follow-on offerings and other registered public offerings, including shelf registration statements, PIPEs, registered direct placements, committed equity financing facilities, and resale registration statements. He has also complete multiple public debt offerings and tender offers.

He also has significant M&A expertise, representing both public and private companies on buy and sell side transactions. He led a team of attorneys that represented Sun Microsystems in its acquistion by Oracle.

In addition, Mr. Luinenburg regularly counsels public company boards of directors and management teams on the governance and regulation of business entities and securities laws. In addition to being a skilled transactional lawyer, Glenn has gained significant experience in complex and novel transactions where creativity and business judgment play crucial roles.

Glenn joined WilmerHale from Wilson, Sonsini, Goodrich & Rosati, where he worked with technology companies on a variety of corporate and corporate finance matters for more than 12 years.
