Adam Thorngate-Gottlund

My practice focuses on general corporate law and governance for domestic and multinational startup and growth-stage companies; cross-border transactions, including equity and debt financing at all stages of growth up to IPO, mergers & acquisitions from term sheet negotiation to post-closing governance; licensing of multi-million dollar assets; fund formation; securities issuances under state and federal exemptions including Regulation S; and permitting with local, state, and federal governments. Industries I work with include consumer hardware, semiconductors, drones, apps and other online services, consumer products and retail services, government contracts, and food and beverage. I provide counsel on issues such as entity choice, equity structure, securities law compliance, and corporate governance, to a wide range of companies. An experienced entrepreneur, I understand the issues faced by founders and others working with emerging growth and early stage companies.

I particularly enjoy working with hardware companies, open source licensing matters, and companies interested in pursuing crowdfunding as capital contribution, debt, or equity. Business areas I focus on include the Internet of Things, quantified self, and wearable technology.
