I have assisted business owners of private and public companies with formation, governance, all contractual matters, disclosure, compliance, litigation, capital raising, merger and acquisition matters.

I have practice as a general counsel for over 20 years, both as an outside law firm attorney and as an in-house corporate counsel and member of management. I have seen most issues that can arise in a business context and can give advice and planning toward resolution. I also have an extensive referral data base for attorneys that are expert in fields that I am not experienced in.

I have acted as the general counsel for a publicly traded broker-dealer and investment bank and have therefore advised on many securities issues from issuance, sale, purchase, registration, compliance and litigation.
