I work closely with other (non-tax) attorneys and accountants to advise on the tax aspects of various transactions and other matters such as settlements of lawsuits. I have found over the years that there is almost always a “better” way to structure a transaction and draft the relevant documents to reduce taxes. Accountants tend to think inside the box, black and white, and do not see possible alternatives to structutre a transaction in a way to reduce taxes. I can often assist with that.

The transactions I advise on run the gammit of $100 million + business sales, mergers, spin-offs, to business “divorces” to dividing assets in actual divorces. They all have tax aspects and can almost always benefit from better structuring, planning and drafting.
I also work with litigators to reduce taxes on legal settlements. Most recently, I represented over a dozen fire PG&E fire victims to assist with the reduction of tax on settlements received.

Finally, I represent taxpayers before the IRS and FTB in tax controversy matters. This representation includes IRS/FTB audits, Tax Court litigation, refund litigation in U.S. District Court and other tax disputes. Most of my audits haved been resolved as “no-changes”. The key is knowing the rules of the game – knowing which deadlines are real and which are not, knowing when to move on to the next level at the IRS/FTB and where to focus your efforts. The government created the rules of the game and has unlimited resources – they will take advantage of you without proper legal representation.
