For a new company, the first question is never which form to file. It is what the founder is building, who else will own a piece of it, and whether outside money or a sale is anywhere in the picture. The entity follows from that. Most of the expensive problems I fix later trace back to a formation decision someone made in an afternoon.

Once a company is running, the work shifts to contracts, trademarks, employment and contractor agreements, and the privacy and terms language behind a website or app. The standard is documents that hold up when someone disputes them, not documents that look fine until they are tested.

A sale is largely won or lost before the buyer arrives. Clean records, clear ownership, and a company that can survive diligence. Before this, my early career was spent running that diligence for private equity firms and corporate buyers at Deloitte and PwC, so I know what they come looking for.

Tax is how I got here: a Juris Doctor and a Master of Laws in Taxation from Loyola Law School, with an accounting degree underneath both. That is not the reason founders hire me. It is the reason the advice holds up. Nearly every early decision carries a tax consequence that surfaces years later, and I can see it while the decision is still open.
