You should be able to fill out I-864 for one parent and I-864A for the other parent.

She needs to apply for an F-2 visa and your presence at the US Consulate should not be required, absent some unusual circumstances.

Will H1B counter is always reset to 6 years if you stay outside of USA for more than 1 year.

The 6-year limitation is reset if you in fact remained out of the US for at least one year.
