Experienced securities attorney will perform legal services for you in connection with your offer and sale of interests for the formation of a corporation or a limited partnership or a limited liability company for all types of investment activities for which you will be raising capital from investors when the potential for a return on their investment is based on the efforts of someone other than their own efforts, e.g. yours or a third party's (this is defined in the States and federal securities acts as an investment contract, which is, in turn, defined as a security requiring the delivery of disclosure materials in the form of an Offering or Placement Memorandum for a private offering or an Offering Circular for an intrastate public offering or a Prospectus for an interstate public offering. I will prepare such disclosure documents and supervise the offering and sale of the interests through the closing of the offering, the formation of the financing entity and the release of the capital contributed from the account established for the deposit of the capital and reporting requirements thereafter and will be available to provide you with the negotiation and preparation and/or review of any consequential instruments, documents and agreements for the operation of the business of the financing entity.

The fees for such services will depend on many factors to be determined prior to the commencement of the offering and the formation of an attorney-client relationship between us upon my analysis of the information you will provide through my securities offering questionnaire; and I will endeavor to structure the fee payment schedule so that most of the fee will be paid at the time of the closing of the offering, the formation of the financing entity and the release of capital for the investment transaction ... and, because there will be an allocation of a portion of the contributed capital to cover all fees, you will be reimbursed at the time of the release of capital for any fees you have paid and will be paid a fee you will have earned for your organizational efforts in the development of the investment opportunity, the raising of the capital and the formation of the financing entity. The fees for continuing services such as those in connection with governance and reporting and the operation of the business of the financing entity will be billed at a fair and equitable hourly rate.
