Since graduation from law school, I have been affiliated with law firms and for a period of time served as in house counsel for a diversified multi-national corporation that was listed on the NYSE.  I have represented domestic and international clients in the areas of general business, commercial, real property, and computer/technology law.   In the general business and commercial area, my experience includes the following: business formation, transactions and business dissolution; limited liability company formation and dissolution; preparation of limited liability company operating agreements; corporate matters (for profit and nonprofit); business and asset acquisitions and dispositions; liquidations, mergers and other business reorganizations; director/officer liability; contract preparation and negotiation; financings (private and institutional); limited and general partnership formation, operation and dissolution; and shareholder agreements;   In real property matters, I have experience in both the commercial and residential areas including the following: purchases, sales and leases; real property management; development of commercial and residential projects; easements, licenses and other real property interests; obtaining and structuring financing; environmental matters; and loan and project workouts.  In the area of computer and other technology law, I have represented both developers and users.
