Joel Bradley Ginsberg

I focus my law practice on structuring, negotiating and documenting business transactions for entrepreneurs, start-ups, small businesses and early-stage companies. 

The primary focus of my practice involves forming business entities (such as corporations, limited liability companies (LLCs), and partnerships), structuring and documenting capital (both equity and debt) investments and financings (which includes ensuring compliance with state and federal securities laws), negotiating and drafting a wide array of licensing, acquisition, employment, and commercial contracts, and providing legal counsel on issues such as executive employment, capital raising, regulatory compliance, partner/shareholder disputes, and intellectual property protection.

What differentiates me from other qualified transactional attorneys? Like many good transactional attorneys, I learned how to practice transactional law representing “Fortune 500” companies at a “Wall Street” law firm in New York City and at the Los Angeles office of one of the world’s largest law firms. However, I am particularly passionate about representing creative entrepreneurs and small-business owners and helping them navigate legal issues as they turn their creative ideas into thriving companies. I have built my own entrepreneurial companies and created/operated a start-up division of a larger company that was ultimately acquired. This business experience has provided me with in-depth, first-hand knowledge about pursuing an entrepreneurial vision and implementing a business plan that most transactional attorneys lack. Simply put, I understand the entrepreneurial process because I experience it first-hand from both a legal and business perspective.
